These Terms and Conditions ("Terms") govern your access to and use of Buildsasa, a construction project-management platform available at buildsasa.com and console.buildsasa.com, and any related applications and services (together, the "Service"). The Service is operated by [Legal Company Name], a company registered in Kenya ("Buildsasa", "we", "us", or "our").
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of a company or organisation, you represent that you have authority to bind that organisation to these Terms.
1. The Service
Buildsasa provides cloud-based tools for managing construction projects, including project tracking, checklists, financials, budgets, invoicing, bidding and tenders, inventory and equipment management, team collaboration, and related features. We may add, change, or remove features from time to time.
2. Accounts and eligibility
- You must be at least 18 years old and capable of forming a binding contract to use the Service.
- You must provide accurate and complete information when registering and keep it up to date.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- You must notify us immediately at hello@buildsasa.com of any unauthorised use of your account.
- Workspace owners are responsible for managing the users they invite and for the actions of those users within their workspace.
3. Subscriptions, fees, and payment
- The Service is offered on a subscription basis. Current plans and prices are shown within the Service and may be updated from time to time.
- Fees are billed in advance for the applicable billing period (for example, weekly or monthly) and are quoted in Kenya Shillings (KES) unless stated otherwise.
- Payments are processed by our third-party payment provider, Paystack, including via card and M-Pesa. By subscribing, you authorise us and our payment provider to charge the applicable fees.
- Access to paid features requires an active subscription. If a payment fails or a subscription lapses, your access may be suspended until payment is made.
- Except where required by law, fees are non-refundable. We do not provide refunds or credits for partial billing periods or unused features.
- We may change our fees. We will give you reasonable notice of price changes, which will take effect at the start of your next billing period.
4. Free trials and promotional offers
If we offer a free trial or promotional plan, we may change or withdraw it at any time. Unless you cancel before the trial or promotional period ends, your subscription may convert to a paid plan at the then-current price.
5. Your content and data
- Ownership. You retain all rights to the data, files, and content you upload to the Service ("Your Content"). We do not claim ownership of Your Content.
- Licence to us. You grant us a limited licence to host, store, process, and display Your Content solely to provide and improve the Service for you.
- Responsibility. You are solely responsible for Your Content and for ensuring you have the rights to upload and use it. You must not upload content that is unlawful, infringing, or that violates the rights of others.
- Backups. While we take reasonable measures to protect data, you are responsible for maintaining your own copies of critical information where appropriate.
6. Acceptable use
You agree not to:
- use the Service for any unlawful, fraudulent, or harmful purpose;
- upload viruses, malware, or any code designed to disrupt or damage the Service;
- attempt to gain unauthorised access to the Service, other accounts, or our systems;
- reverse-engineer, copy, resell, or create derivative works of the Service except as permitted by law;
- interfere with or overload the Service, or circumvent any usage limits or security measures;
- use the Service to store or transmit content that infringes intellectual property or privacy rights.
We may suspend or terminate accounts that violate these Terms.
7. Intellectual property
The Service, including its software, design, branding, logos, and content (excluding Your Content), is owned by Buildsasa and its licensors and is protected by intellectual-property laws. These Terms do not grant you any right to use our trademarks or branding without our prior written consent.
8. Third-party services
The Service integrates with third-party providers such as Paystack (payments), Google (sign-in), and others. Your use of those services may be subject to their own terms and privacy policies. We are not responsible for third-party services and do not control them.
9. Service availability
We aim to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted, error-free, or secure at all times. We may perform maintenance, updates, or changes that temporarily affect availability, and we may suspend the Service where necessary to protect it or comply with the law.
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. Buildsasa does not warrant that the Service will meet your requirements or that any figures, calculations, or outputs generated by the Service (including financial, budgeting, or AI-assisted features) are accurate or complete. You are responsible for verifying any information before relying on it.
11. Limitation of liability
To the maximum extent permitted by law:
- Buildsasa will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service.
- Our total aggregate liability for any claim arising out of or relating to the Service or these Terms will not exceed the amount you paid to us for the Service in the three (3) months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
12. Indemnity
You agree to indemnify and hold harmless Buildsasa, its directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your breach of these Terms.
13. Suspension and termination
- You may stop using the Service and cancel your subscription at any time from within the Service or by contacting us.
- We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a way that risks harm to us or others.
- On termination, your right to use the Service ends. We may delete your data in accordance with our Privacy Policy, subject to any legal retention obligations. You may request an export of Your Content before termination where reasonably possible.
14. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service and update the "Last updated" date above. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
15. Governing law and disputes
These Terms are governed by the laws of the Republic of Kenya. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Kenya. Before initiating any formal proceedings, we encourage you to contact us at hello@buildsasa.com so we can try to resolve the matter informally.
16. General
- If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
- Our failure to enforce any right or provision is not a waiver of that right or provision.
- You may not assign or transfer these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- These Terms, together with our Privacy Policy, constitute the entire agreement between you and Buildsasa regarding the Service.
